Agreement to Terms

By accessing or using the Aerthom website, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and Aerthom, Inc. Products and Pricing

Aerthom makes every effort to display accurate product descriptions, images, and pricing on our website. However, we do not warrant that product descriptions, images, pricing, or other content is accurate, complete, reliable, current, or error-free.

• Aerthom reserves the right to modify product pricing, offerings, and specifications at any time without prior notice. Price changes will not affect orders that have already been confirmed.
• You are responsible for any applicable taxes, duties, or fees associated with your purchase, except where Aerthom is required by law to collect and remit such charges.
• In the event of a pricing error, Aerthom reserves the right to cancel any orders placed at the incorrect price and will issue a full refund for any amounts already charged.

Orders and Payment

All orders placed through the Aerthom website are subject to acceptance and availability. Placing an order constitutes an offer to purchase, which Aerthom may accept or decline at its sole discretion.

• Orders are processed upon receipt of valid payment. Aerthom utilizes third-party payment processors to handle all payment transactions securely. We do not store your full credit card information on our servers.
• We accept major credit cards, debit cards, and other payment methods as indicated at checkout. All payments are processed in US Dollars unless otherwise stated.
• Aerthom reserves the right to limit order quantities, refuse service to any customer, and cancel orders that appear to be placed by dealers, resellers, or distributors.

Intellectual Property

All content on the Aerthom website, including but not limited to text, graphics, logos, images, product designs, photographs, video, software, and the compilation thereof, is the exclusive property of Aerthom, Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Aerthom name, logo, taglines, and all related product names, design marks, and slogans are trademarks of Aerthom, Inc. You may not use any of these marks without the prior written permission of Aerthom.

Restrictions on Use

When using our Services, you agree not to:

• Use any automated system, including but not limited to robots, spiders, scrapers, or similar tools, to access, scrape, or collect content or data from our website for any purpose without our express written permission.

THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AERTHOM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

YOUR USE OF THE SERVICES AND ANY PRODUCTS PURCHASED THROUGH THE SERVICES IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM AERTHOM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AERTHOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL AERTHOM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO AERTHOM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to defend, indemnify, and hold harmless Aerthom, Inc., its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or your violation of any rights of a third party.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first attempt to resolve the matter informally by contacting Aerthom at support@aerthom.com. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

If the dispute cannot be resolved informally within 30 days, both parties agree to submit the matter to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

Changes to Terms

Aerthom reserves the right to update, modify, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes will be communicated through a notice on our website or via email to registered account holders.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services.
